V-EVELEN INC. (“U4RIA,” “we,” “us,” or “our”) provides the U4RIA website (u4riahub.com), mobile application, and related features (collectively, the “Services”). These Terms and Conditions (“Terms”) govern your access to and use of the Services.

By creating an account, downloading the app, or otherwise using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

Your use of the Services is also governed by our Privacy Policy and Consumer Health Data Policy, each incorporated into these Terms by reference.

You agree that the Services are not intended for use in a medical emergency. If you are having thoughts of suicide or self-harm and are located in the United States or Canada, please call or text 988. If you are experiencing a medical or mental health emergency, contact your local emergency services or go to the nearest emergency room. Do not attempt to access emergency care through the Services.

1. What You're Signing Up For

U4RIA is a wellness app offering guided meditations, sleep stories, breathing exercises, AI-Tailored audio content (including the SOS Wheel and PepTalk features), community features, and related content. U4RIA is not a healthcare provider and does not provide medical, psychiatric, or therapeutic treatment. See Section 9 (Health Disclaimer) below.

To use certain features, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2. Eligibility and Age Requirements

The Services are not intended for children under 13. We do not knowingly collect personal information from anyone under 13.

If you are between 13 and 17 years old, you may use the Services only with the consent and supervision of a parent or legal guardian.

If you are accessing U4RIA through an employer, university, or partner organization (“Partner”), additional eligibility terms provided by that Partner may apply.

3. Subscriptions and Payment

• Free and Paid Tiers. U4RIA offers free content alongside paid subscription tiers. Current pricing is listed at u4riahub.com/pricing and is subject to change with notice.

• Billing. Subscriptions are processed as in-app purchases through Apple Pay or Google Pay. We do not store your payment card details. Your purchase is subject to Apple's or Google's applicable payment terms, including their refund policies.

• Auto-Renewal. Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. You can manage or cancel your subscription through your Apple ID or Google Play account settings.

• Refunds. Refunds are governed by Apple's and Google's respective refund policies. We do not independently process refunds for in-app purchases.

• Price Changes. We may change subscription pricing at any time. Changes will not affect a subscription period you've already paid for, but may apply upon renewal, with notice where required by law.

4. Business and Partner Accounts

If you access U4RIA through a Partner (such as an employer or HR benefits platform), your Partner may share your name, email address, and enrollment date with us to set up your access. Your Partner may also receive aggregated, anonymized engagement data about employees enrolled under their plan, but will not receive your individual mood-related content, AI-generated content, or specific in-app activity. If your access to U4RIA was provided by a Partner, your access may end if the agreement between U4RIA and your Partner ends.

5. Community Guidelines and User Content

If you post in the U4RIA Community, you agree that your content (“User Content”) will:

• Not be illegal, threatening, harassing, hateful, or discriminatory

• Not impersonate any other person or entity

• Not include personal contact information of yourself or others

• Not advertise or solicit business

• Not infringe on anyone else's intellectual property or privacy rights

Voice recording is not currently a supported feature within U4RIA.

We do not systematically review all User Content but reserve the right to remove content or suspend accounts that violate these Terms, without prior notice.

By posting User Content, you grant U4RIA a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content within the Services for the purpose of operating and promoting the Community feature. You retain ownership of your content.

6. AI-Generated Content

Certain U4RIA features, including the SOS Wheel and AI-Tailored pep talks, affirmations, and gratitude messages, use artificial intelligence to generate personalized audio content based on your input. This content is generated automatically and is not reviewed by a human before being delivered to you. AI-generated content is intended for general wellness purposes only and is not a substitute for professional medical or mental health advice. See Section 9 below.

7. Prohibited Use

You agree not to:

• Copy, reverse-engineer, decompile, or create derivative works from the Services

• Use automated tools (including bots, scrapers, or LLM crawlers) to extract data or content from the Services

• Use the Services to train machine learning or AI models without our written consent

• Interfere with the security or functioning of the Services

• Impersonate any person or entity, or misrepresent your affiliation with anyone

• Use the Services for any illegal or harmful purpose

• Circumvent any regional or territorial restrictions on the Services

• Resell, sublicense, or commercially exploit the Services without our written consent

We reserve the right to suspend or terminate access for anyone who violates this section.

8. Intellectual Property

The Services, including all content, features, design, and the U4RIA® trademark, are owned by V-EVELEN INC. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

U4RIA® is a registered trademark of V-EVELEN INC. in the United States and Canada. You may not use the U4RIA name, logo, or trademarks without our prior written consent.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use. All other rights are reserved.

9. Health Disclaimer

U4RIA is a wellness app, not a healthcare provider. The Services do not provide medical advice, diagnosis, or treatment, and are not intended to replace the relationship between you and your physician, therapist, or other healthcare provider.

• If you are experiencing a medical or mental health emergency, contact your local emergency services immediately.

• If you are having thoughts of suicide or self-harm, call or text 988 (US and Canada).

• Always consult a qualified healthcare provider before making decisions related to your physical or mental health.

U4RIA assumes no liability for outcomes related to your use of meditation, breathwork, or other wellness content, including any worsening of an existing condition. Individuals with existing mental health conditions should speak with a healthcare provider before beginning any new wellness practice.

10. Third-Party Links and Services

The Services may link to third-party websites or integrate with third-party services (such as payment processors or analytics providers). We do not control and are not responsible for the content, privacy practices, or availability of third-party services. Use of any third-party service is at your own risk and subject to that party's own terms.

11. Disclaimer of Warranties

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

12. Limitation of Liability

To the fullest extent permitted by law, U4RIA and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim related to the Services will not exceed the amount you paid U4RIA in the 12 months before the claim arose, or CAD $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms, or for any other reason with reasonable notice where required by law. You may stop using the Services and delete your account at any time through your account settings or by contacting us.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the app, our website, or by email. Continued use of the Services after changes take effect means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
